These Terms & Conditions ("Terms") constitute a legally binding agreement between you and TestingAgents AI ("Company," "we," "us," or "our") regarding your use of our AI testing platform and related services (the "Service").

By creating an account, accessing our platform, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

TestingAgents AI provides an AI-powered software testing platform that includes:

3. User Accounts and Registration

To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

Your Content

You retain ownership of any code, applications, or data you provide to the Service. By using our Service, you grant us a limited license to process, analyze, and test your applications solely for the purpose of providing our testing services.

Generated Tests

Test scripts and automation code generated by our AI agents for your applications belong to you. However, the underlying AI technology and methodologies remain our proprietary property.

6. Payment Terms

Subscription Fees

Access to certain features of the Service requires payment of subscription fees. All fees are non-refundable unless otherwise specified in your subscription agreement or required by law.

Billing

Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all applicable fees. If payment fails, we may suspend or terminate your access to paid features.

Price Changes

We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of your next billing cycle, with at least 30 days' advance notice.

7. Data Security and Privacy

We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability and Support

Uptime

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects service availability, and we will provide advance notice when possible.

Support

We provide technical support to paid subscribers according to your subscription level. Support is provided during business hours and response times vary based on issue severity and subscription tier.

9. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Termination

By You

You may terminate your account at any time by contacting us or using the account deletion feature in your dashboard. Termination does not entitle you to a refund of prepaid fees.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice. We may also terminate the Service entirely with 30 days' notice.

Effect of Termination

Upon termination, your access to the Service will cease, and we may delete your data according to our data retention policies. You remain liable for any fees incurred before termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration in San Francisco, California.

Before initiating arbitration, you agree to first contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, either party may proceed to arbitration.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

13. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TestingAgents AI regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction.
